1. INTRODUCTION

1.1 Contract Relationship

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or a legal entity) and RBX GmbH, Neuer Pferdemarkt 1, 20359 Hamburg, Germany, registered in the Commercial Register at the Hamburg District Court under HRB 173079, VAT ID: DE 349 570 861 ("RBX," "we," "us," "our") regarding your use of the RBX Pro Portal (the "Platform"), a B2B marketplace for the European music industry. The Platform may in the future evolve into a cross-sectoral marketplace and may be operated by a different legal entity, in which case these Terms shall be transferred to such entity and you will be notified accordingly.

1.2 Acceptance

By registering for, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1.3 Age Restriction

The Platform is available only to users who are at least 18 years old. By using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts.

1.4 Code of Conduct

We do not tolerate any form of violence, racism, xenophobia, sexism, or homophobia on the Platform or at any events organized or facilitated through the Platform, including but not limited to the Reeperbahn Festival. It is also forbidden to trivialize violence against others or to make statements that question the human dignity of others. This principle applies to every user of the Platform and participant of related events. Any person who violates these principles may be suspended or permanently banned from the Platform and excluded from all related events. Any criminal offenses may be reported to the relevant authorities.

2. PLATFORM SERVICES

2.1 Services Overview

The Platform provides a B2B marketplace that connects various stakeholders in the music industry, including but not limited to artists, managers, labels, promoters, venues, festival organizers, and other industry professionals. The Platform offers the following services:

a) Networking and matchmaking between industry professionals; b) Project acceleration and collaboration opportunities; c) IP transaction facilitation; d) Deal-making and business development; e) Booking and selling of performances; f) Planning performances and events; g) Curating sessions and panels; h) Access to industry intelligence and insights; i) Discovery of newcomers and emerging talent; j) Connecting buyers and sellers within the music industry.

2.2 Account Registration

To access the Platform's services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify RBX of any unauthorized use of your account or any other breach of security.

3. USER CONDUCT

3.1 Relationship with Festival Terms

If you are using the Platform in connection with the Reeperbahn Festival or other events organized by RBX GmbH, you acknowledge that additional terms and conditions may apply to your participation in those events ("Event Terms"). In case of any conflict between these Terms and the Event Terms, the Event Terms shall prevail with respect to the specific event, while these Terms shall continue to govern your use of the Platform.

3.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

a) Violating any applicable laws, regulations, or third-party rights; b) Using the Platform for any illegal purpose or in violation of these Terms; c) Uploading or sharing content that infringes intellectual property rights or contains illegal, harmful, or offensive material; d) Interfering with the proper functioning of the Platform or attempting to access areas or features of the Platform that you are not authorized to access; e) Using the Platform to send unsolicited communications or advertisements; f) Impersonating any person or entity or misrepresenting your affiliation with any person or entity; g) Using the Platform in any manner that could disable, overburden, damage, or impair the Platform; h) Harvesting or collecting information about other users without their consent; i) Introducing any viruses, Trojan horses, worms, or other malicious code to the Platform.

3.3 User-Generated Content

The Platform allows you to submit, upload, publish, or otherwise make available content such as profiles, offers, project pages, panel descriptions, marketing materials, technical riders, and other materials ("User Content"). You retain ownership of your User Content, but you grant RBX a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Platform.

3.4 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:

a) You own or have the necessary rights to use and authorize us to use your User Content; b) Your User Content does not violate any third-party rights, including intellectual property rights and privacy rights; c) Your User Content complies with these Terms and all applicable laws and regulations.

3.5 Press Materials and Promotion

When uploading artist or project profiles, press materials, event details, or similar content to the Platform, you grant RBX permission to use such materials for promotional purposes related to the Platform and associated events. You agree that artists and entities represented on the Platform will reference their participation in relevant networks and promotional channels. You should upload all necessary press materials in common formats (image, text, links) promptly after creating profiles or listings to allow for adequate promotion.

3.6 Media Policy

Unless otherwise specified, any content uploaded to the Platform or shared during events facilitated through the Platform may be photographed, recorded, or otherwise documented by RBX or its authorized partners. If you wish to record performances or events for commercial purposes, prior written permission from RBX is required. Authorized photographers accredited by RBX generally have access to performance areas. Visitors to events are typically permitted to bring personal, non-professional cameras, video cameras, and mobile phones, and RBX cannot prevent visitors from using these devices.

4. INTELLECTUAL PROPERTY

4.1 RBX Intellectual Property

The Platform, including its features, functionalities, and content provided by RBX, is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Platform or RBX's intellectual property.

4.2 Feedback

If you provide RBX with feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant RBX a perpetual, irrevocable, non-exclusive, royalty-free right to use, modify, and incorporate such Feedback for any purpose without any obligation to compensate you.

5. PRIVACY AND DATA PROTECTION

5.1 Data Collection

RBX collects and processes personal data in accordance with its Privacy Policy, which is incorporated by reference into these Terms. The types of data collected include names, email addresses, company information, affiliations, contact details, country, date of birth, information about acts under management (including members, territories, tour dates), as well as related contracts, deal confirmations, and tickets.

5.2 GDPR Compliance

As the Platform primarily operates within the European Union, RBX complies with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Your personal data will only be processed as described in our Privacy Policy and for the purposes for which it was collected, or for other compatible purposes to which you have consented.

5.3 Marketing Communications

By using the Platform, you acknowledge and agree that RBX may use your contact information to provide you with information about additional products and services from their portfolio, such as events, content, or other platforms. This may include newsletters, promotional materials, and invitations to RBX-organized or affiliated events. You can opt out of receiving such communications at any time by following the unsubscribe instructions in the communications or by contacting us directly.

5.3 Data Subject Rights

Under the GDPR, you have the right to:

a) Access your personal data; b) Rectify inaccurate personal data; c) Request erasure of your personal data; d) Restrict or object to processing of your personal data; e) Data portability; f) Withdraw consent at any time, where processing is based on consent.

6. PAYMENT TERMS

6.1 Current Access Model

Currently, access to the Platform is included in the festival ticket price. RBX reserves the right to modify the payment model in the future.

6.2 Future Payment Models

RBX may introduce various payment models in the future, which may include subscriptions, transaction fees, licensing fees, or other payment structures. Any such changes will be communicated to users in advance, and continued use of the Platform after such changes will constitute acceptance of the new payment terms.

7. EVENT-SPECIFIC PROVISIONS

7.1 Cancellation Policy

For events, performances, or appearances arranged through the Platform (including but not limited to the Reeperbahn Festival):

a) Cancellations are only accepted due to illness of the artist (requiring a medical certificate confirming the inability to perform, without specifying the condition) or in the event of death or serious illness/injury of a close family member, spouse, or civil partner of the artist. b) Other reasons (e.g., studio work, other appearances, changed plans) do not justify effective termination and cancellation. c) German law applies to cancellations for good cause.

7.2 Event Operations and Equipment

For events facilitated through the Platform:

a) RBX or the relevant event organizer will provide appropriate equipment within a reasonable framework for the size of the event. b) Special equipment requests should be communicated well in advance and may incur additional costs. c) Each artist is generally responsible for their own specialized equipment (backline). d) Special show elements not included in standard setups are not automatically covered and may require additional arrangements. e) Sound limits and other regulations may apply according to German law and venue-specific requirements.

7.3 Event Logistics

For events facilitated through the Platform:

a) Local transport is generally not provided unless specifically arranged. b) The exact number of artist members and technicians must be submitted through the Platform in advance. c) Guest list allocations are non-negotiable parts of agreements and must be managed through the Platform. d) Artist areas at events are reserved for artists and crew; other associates must be included on guest lists.

8. TERMINATION

8.1 Termination by You

You may terminate your account at any time by following the instructions on the Platform or by contacting us at contact@rbx.music.

8.2 Termination by RBX

RBX may, in its sole discretion, terminate or suspend your access to all or part of the Platform at any time, with or without notice, for any reason, including without limitation, breach of these Terms.

8.3 Effect of Termination

Upon termination: a) Your right to access and use the Platform will immediately cease; b) RBX may, but is not obligated to, delete any of your User Content; c) Provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, and limitations of liability.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RBX, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; c) ANY CONTENT OBTAINED FROM THE PLATFORM; AND d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RBX EXCEED THE GREATER OF ONE HUNDRED EUROS (€100) OR THE AMOUNT YOU HAVE PAID RBX IN THE PAST TWELVE MONTHS.

9.3 Specific Liability for Events

Liability of a party arising from events facilitated through the Platform - irrespective of the legal grounds - shall only exist if the damage was caused by culpable breach of one of the cardinal obligations or essential secondary obligations in a manner that jeopardizes the achievement of the purpose of the contract or is attributable to gross negligence or intent on the part of a party or its vicarious agents. In the absence of gross negligence or intent, liability for the breach of an essential contractual obligation shall be limited to the damage foreseeable at the time of conclusion of the contract and typical for the contract.

This also applies to damage caused by gross negligence or intent on the part of employees of the liable party who are not directors or officers of the liable party. Liability for consequential damages, in particular for loss of profit or damages to third parties, is excluded, unless the liable party is guilty of intent or gross negligence. Claims for damages under the German Product Liability Act and for damages arising from injury to life, limb, or health shall remain unaffected by these limitations of liability.

9.4 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless RBX, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney fees and costs, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another.

11. PERMITS AND COMPLIANCE

11.1 Event-Related Permits

For events facilitated through the Platform, RBX or the designated event organizer is responsible for obtaining necessary official permits related to the organization of the event, including safety-relevant considerations and issues related to maintaining public safety and order (e.g., noise emissions, sanitary facilities, escape routes). For events such as the Reeperbahn Festival, RBX maintains appropriate festival liability insurance for personal injury and property damage.

11.2 Visa and Work Permits

Users are solely responsible for obtaining any required visas, work permits, or other authorizations needed for participation in events facilitated through the Platform. These must be applied for in good time by the users if required. RBX is not responsible for these matters and will not reimburse any costs incurred.

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law principles.

12.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms or the Platform shall be exclusively brought in the courts located in Hamburg, Germany, and you consent to the personal jurisdiction and venue of such courts.

12.3 Limitation Period

Any claim or cause of action arising out of or related to your use of the Platform or these Terms must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and RBX regarding the Platform and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.

13.2 No Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and RBX's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.3 Severability

If any provision of these Terms is invalid or void, the Terms shall remain in full force and effect. The invalid or void provision shall be replaced by another provision that comes as close as possible in economic terms to the originally intended provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without RBX's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. RBX may freely assign or transfer these Terms without restriction.

13.5 Notices

Any notices or other communications provided by RBX under these Terms will be given by posting to the Platform or, if applicable, by sending to the email address specified in your account. Notices to RBX should be sent to contact@rbx.music.

13.6 Force Majeure

RBX shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, embargoes, strikes, or other force majeure events.

13.7 Language

These Terms are written in the English language. If a translation of these Terms into any other language is provided, the English version will prevail.

13.8 Confidentiality

The details of any agreements, fees, and transactions facilitated through the Platform are confidential and may not be disclosed to any third party without the prior written consent of the other party, provided that a party may disclose such information to its legal and financial advisers if required, who are further bound to maintain the confidentiality of the same.

13.9 Written Form

All amendments or additions to these Terms or any agreements facilitated through the Platform must be in writing to be effective. Verbal agreements are only effective if they have been confirmed in writing, at least by e-mail.

  1. Code of Conduct

    We do not tolerate any form of violence, racism, xenophobia, sexism or homophobia at the Reeperbahn Festival. It is also forbidden to trivialise violence against others or to make statements that question the human dignity of others. Any criminal offences will be reported to the police. This principle applies to every participant of the Reeperbahn Festival, to you, to us, to festival visitors, to artists, to staff, to work crews and to guests. Any person who violates the above-mentioned principles will be expelled from the Reeperbahn Festival or excluded from all events.

  2. Cancellation policy

    We only accept cancellations due to illness of the artist or in the event of death or serious illness or injury of a close family member, spouse or partner of a civil partnership. All other reasons (e.g. studio work, vernissage, radio appearance or changed plans etc.) do not justify effective termination and cancellation. German law applies to cancellations for good cause.

  3. Catering

    Appropriate festival catering for the artist will be provided by RBF free of charge. Individual catering lists will not be accepted. Our festival catering also offers options for the most common food intolerances. If in doubt, please contact us in advance.

  4. Tech and sound (dB control)

    4.1 PA, set up & branding: RBF will provide you with the stages and a P.A. and lighting equipment appropriate to the size of the stage, within a reasonable framework for the size of the festival. Should the artist wish to use a PA or stage set that is not included in our set ups, we are not obliged to fulfil special requests, we do not assume any costs in this regard. However, if you want different equipment, we can arrange a fair deal for most things. In any case, you must let us know your wishes at least 6 weeks in advance. We can always send you the latest festival riders. Basically, it is not possible to dismantle parts of the stage set for a specific show, unless we have the permission of our production and stage manager! The use of sponsors and/or presenters as well as the advertising use of banners and billboards etc. is permitted within the scope of business practice. RBF is free to "brand" the performance stage at its own discretion, in particular with a festival banner.

    4.2 Backline: In general, each artist is responsible for their own backline. We provide a certain basic backline setup on all stages. If other equipment is required, we can get a fair deal for most things from our backliner at the artist's expense. In this case, this must be requested from the respective stage management during pre-production.

    4.3 Special show elements: All details regarding stage set-up and infrastructure can be requested at any time, even before you have accepted our offer. If the artist plans to use show elements that are not included in our set-up, we generally do not cover any costs. Generally, we do not provide LED walls, projectors or other special visuals that we consider special show elements. If required, please contact us as early as possible in advance!

    4.4 Sound limits: by German law 15905/5 - in some venues (e.g. outdoor) special regulations apply, which we will inform you about during pre-production.

  5. Transport and Internals

    We generally do not take care of local transport. It is possible to book shuttles rides on own expenses. All information on this can be found in the artist information in the artist’s promoter account.

  6. Entourage

    The exact number of artist members and technicians must be submitted via the artist’s promoter account in good time before the start of the festival. The entire production and artist area is reserved for artists and crew. All friends and supporters accompanying the artists must be on the guest list. Photographers, (press) managers, management, tour guides, label staff, agents, family and friends will not be accepted as part of the entourage.

  7. Guest list

    The number of guests is non-negotiable part of the agreement. names for the guest list must be entered in the artist's promoter account. We do not expand guestlists. Any changes to the names can be made independently by the partner via the artist’s promoter account.

  8. Press materials and press accreditation

    It goes without saying and you agree that the artist refers to the show in all networks! Please upload the artist’s press material in all common formats - image/text/links -  to the artist’s promoter account immediately after confirming our agreement, so that we have enough time, information and material to promote the artist in the best possible way.  Please send us press accreditation requests in good time! Please understand that we reserve the right to accredit only press that is relevant to us. If you want to make sure that your press companion gets access in any case, please put them on the artist’s guest list.

  9. Media Policy

    If you wish to film your performance for private, non-commercial purposes, please adhere to the private video guidelines of the respective venue. Please do not bring cameras onto the stages without our prior written permission. Filming for commercial purposes requires prior written permission from us. Should the performance be intended for live streaming by our media partners, any communication to the public, especially on the internet and its social media, is only permitted with our written consent. As a rule, all authorised photographers accredited by RBF have access to the front part of the stage or get stage access where the performance of the artist takes place. Visitors are permitted to bring personal, non-professional cameras, video cameras and mobile phones into the venues and we cannot and will not prevent visitors from using these devices.

  10. Liability

    Liability of a party arising from this contract - irrespective of the legal grounds - shall only exist if the damage was caused by culpable breach of one of the cardinal obligations or essential secondary obligations in a manner that jeopardises the achievement of the purpose of the contract or is attributable to gross negligence or intent on the part of a party or its vicarious agents. In the absence of gross negligence or intent, liability for the breach of an essential   contractual obligation shall be limited to the damage foreseeable at the time of conclusion of the contract and typical for the contract. This also applies to damage caused by gross negligence or intent on the part of employees of the liable party who are not directors or officers of the liable party. Liability for consequential damages, in particular for loss of profit or damages to third parties, is excluded, unless the liable party is guilty of intent or gross negligence. Claims for damages under the German Product Liability Act and for damages arising from injury to life, limb or health shall remain unaffected by the above limitations of liability. The above limitations of liability also apply in favour of the legal representatives and vicarious agents.

  11. Illness

     In the event of illness of the Artist, a medical certificate (a doctor's note) must be provided to RBF confirming that the Artist is unable to perform due to a medical condition or illness (the specific condition or illness does not need to be specified), or in the event of the death or serious illness or injury of a close family member, spouse or partner of civil partnership of the artist. If RBF is provided with such a certificate, then Partner may withdraw from this Agreement and shall promptly refund to RBF all payments made to Partner. All further claims between the partners in this context are excluded.

  12. Slots, Billings, Running Orders, Artworks

    are at our sole discretion and we will not discuss slots, running orders, billings and CI with you. It is understood that slots and billings are subject to change. We do not pay any additional fees!

  13. Permits

    RBF is responsible for the entire organisation of the event and for all official permits required in connection with the event, for all safety-relevant questions and questions in connection with the maintenance of public safety and order, in particular also with regard to possible noise emissions, sanitary facilities, escape routes, etc. RBF has taken out appropriate customary festival liability insurance. RBF has taken out adequate and customary festival liability insurance for personal injury and property damage.

  14. Visa & work permit

    are the sole responsibility of the artist and/or the agency. Both must be applied for in good time by the artist and/or the agency, if required. We are not responsible for these matters and will not reimburse you for any costs in this matter.

  15. Confidentiality

    The agreed fee and agreement details are confidential and may not be disclosed to any third party without the prior written consent of the other party, provided that a party may disclose the terms of this agreement to its legal and financial advisers if required, who are further bound to maintain the confidentiality of the same.

  16. Severability Clause

    If any provision of this Agreement is invalid or void, the Agreement shall remain in full force and effect. The invalid or void provision shall be replaced by another provision that comes as close as possible in economic terms to the originally intended provision. All amendments or additions to this agreement must be in writing to be effective. Verbal agreements are only effective if they have been confirmed in writing, at least by e-mail.
